<strong>WHAT WE NEED<br><br></strong>Hazelcast, Inc. is seeking an experienced Commercial Counsel to join our legal team with the primary responsibility of supporting sales with commercial contracts.&nbsp; We are looking for a Commercial Counsel with deep expertise in software licensing and cloud services to negotiate complex technology agreements and provide strategic guidance on commercial deals.&nbsp; The ideal candidate will have extensive experience with global, enterprise-level deals, working primarily with Fortune 500 customers and, in particular, Banking, Financial Services, and Insurance (BFSI) customers.&nbsp; This position will report directly to the CFO.</div><br><br><h3>WHAT YOU'LL DO</h3><ul>
<li>Draft, review, and negotiate complex customer-focused cloud service agreements, software licensing agreements, OEM agreements, professional services agreements, reseller agreements, and distribution partnerships.</li>
<li>Lead customer-focused data protection, AI, and privacy initiatives, including requirements around GDPR, CCPA, DORA, and the EU AI Act.</li>
<li>Partner with sales, product, finance, and engineering teams on product, contract structures, and risk assessment.</li>
<li>Handle license audits, compliance disputes, and enforcement matters.</li>
<li>Ensure compliance with open-source licensing requirements and manage open-source risk assessment.</li>
<li>Develop and maintain commercial contracts templates and playbooks.</li>
<li>Provide sales and executive team with strategic guidance on software licensing and cloud service deals, pricing structures, and commercialization strategies.</li>
<li>Collaborate with business leaders to structure deals that balance legal risk with business objectives.</li>
<li>Stay current on software licensing trends, industry standards, and regulatory developments.</li>
<li>Support corporate development initiatives and strategic partnerships.</li>
<li>Lead procurement legal strategy and negotiate enterprise vendor agreements.</li>
<li>Support business with employment matters.</li>
<li>Manage the company’s privacy compliance.</li>
<li>Keep company policies updated with the support of other functional areas.</li>
<li>Manage disputes and work with outside counsel as needed.</li>
<li>Advise on software IP portfolio development.</li>
<li>Assist with SOC 2 and ISO 27001 compliance.</li>
<li>Assist with trademark and other marketing initiatives.</li>
</ul><br><br><h3>WHAT YOU HAVE</h3><ul>
<li>JD from an accredited law school with admission to practice in the United States; California bar admission preferred.</li>
<li>8+ years of legal experience focused on software licensing, cloud computing, and data protection.</li>
<li>Excellent business acumen and ability to balance legal risk with operational efficiency.</li>
<li>Excellent communication skills and ability to work well with customers.</li>
<li>Drive to push deals forward and to work collaboratively with internal customer (sales) and business teams.</li>
<li>Strong experience working in-house at technology companies.</li>
<li>Technology background or technical degree preferred.</li>
<li>Experience in the technology transactions practice area at a leading law firm preferred.</li>
