The Optum Legal, Compliance, and Regulatory Affairs department is seeking an Associate General Counsel (AGC) to join its Growth Legal Team to provide contracting and transactional support to the Optum Growth and Customer office. The position will primarily provide legal guidance and contracting services to OptumInsight sales leaders.
 
The AGC will become part of an innovative and experienced team of attorneys and legal professionals that operate in a fast-paced and deadline-oriented environment. The candidate must be able to prioritize multiple competing priorities, communicate effectively with colleagues, clients, and customers, and have desire to develop a deep knowledge of Optum product offerings.  Significant contracting drafting experience is a requirement, and experience working in an in-house environment will be considered.  The AGC will be expected to handle contracting matters from beginning to end with minimal supervision, participate in team-wide process improvement initiatives, and provide guidance and oversight to non-attorneys and attorneys.

Primary Responsibilities:
<ul>
<li style="font-family: Tahoma;">Provide transactional legal support for the OptumInsight Growth team’s sales functions by being a key drafter and negotiator of complex legal commercial contracts with payers and providers</li>
<li style="font-family: Tahoma;">Serve as a leader for the customer contracting team and support team initiatives</li>
<li style="font-family: Tahoma;">Review contract language to ensure consistency/eliminate conflicts</li>
<li style="font-family: Tahoma;">Draft/update standard language for contract templates</li>
<li style="font-family: Tahoma;">Draft non-standard contract language or custom agreements based on negotiations</li>
<li style="font-family: Tahoma;">Review counterparty (e.g., client, vendor, provider) forms/contract templates to ensure inclusion of necessary terms and conditions for the transaction</li>
<li style="font-family: Tahoma;">Identify issues in contracts/proposals/documents that require escalation and engage senior legal counsel or other stakeholders as appropriate</li>
<li style="font-family: Tahoma;">Communicate risks and explain contract language and terminology (e.g., limits of liability, indemnifications, audits, etc.) appropriately for a given audience</li>
<li style="font-family: Tahoma;">Defend the company's position and rationale on contract terms</li>
<li style="font-family: Tahoma;">Meet with appropriate individuals (e.g., internal/external parties, vendors, outside counsel) to discuss and negotiate non-standard terms</li>
<li style="font-family: Tahoma;">Identify/recommend/engage relevant internal/external stakeholders in the contract process to problem-solve and resolve issues and approve non-standard terms</li>
<li style="font-family: Tahoma;">Manage multiple contract priorities (e.g., assigned cases/accounts, projects, tasks) and remain focused on key/appropriate priorities in the contracting process</li>
<li style="font-family: Tahoma;">Identify/participate in projects to suggest contract process or customer service improvements</li>
<li style="font-family: Tahoma;">Search and maintain contract records and data</li>
<li style="font-family: Tahoma;">Track and report contract status, exceptions or non-standard approvals</li>
<li style="font-family: Tahoma;">Operate proficiently within a paperless contracting process/environment</li>
</ul>

<li style="font-family: Tahoma;">JD and bar admission in at least one U.S. state</li>
<li style="font-family: Tahoma;">7+ years of legal experience, with specific, documented experience in contracting drafting and negotiation</li>
<li style="font-family: Tahoma;">Proven solid transactional negotiation and drafting skills</li>
<li style="font-family: Tahoma;">Proven solid business acumen and problem-solving ability</li>
<li style="font-family: Tahoma;">Demonstrated ability to build and maintain rapport with leaders, team members, employees, and external company contacts, with demonstrated ability to lead and contribute to team effort</li>
</ul>
 
Preferred Qualifications:
<ul>
<li style="font-family: Tahoma;">Experience working on agreements in the health care industry</li>
<li style="font-family: Tahoma;">Experience working on software or data licensing agreements </li>
<li style="font-family: Tahoma;">Experience working in a matrixed environment and with sales teams as part of a large in-house legal team</li>
<li style="font-family: Tahoma;">Demonstrated customer service and interpersonal communication skills</li>
</ul>

Pay is based on several factors including but not limited to local labor markets, education, work experience, certifications, etc. In addition to your salary, we offer benefits such as, a comprehensive benefits package, incentive and recognition programs, equity stock purchase and 401k contribution (all benefits are subject to eligibility requirements). No matter where or when you begin a career with us, you’ll find a far-reaching choice of benefits and incentives. The salary for this role will range from $132,200 to $226,600 annually based on full-time employment. We comply with all minimum wage laws as applicable.
