<p><strong>About World Business Lenders</strong> (<a target="_blank" rel="nofollow noreferrer noopener" class="external">www.wbl.com</a>)</p><p>World Business Lenders (WBL) provides general purpose short-term real estate collateralized commercial loans to a broad customer base comprised of small and medium sized businesses throughout the United States that lack access to traditional funding. </p><p></p><p><em><strong>WBL is a U.S.-based company with a 100% remote workforce. </strong></em></p><p></p><p>This is a remote Contract/Consultant position. Generally, working hours will be 9:00am-6:00pm Eastern, Monday through Friday, although hours worked may be greater based upon operational requirements. </p><p></p><p>The job requires excellent oral and written command of the English language. Resumes must be submitted in English. </p><p></p><p><strong>About the Job:</strong></p><p>In a fast paced, high expectation, results oriented environment, the Corporate and Compliance Counsel will be responsible for all legal, compliance, regulatory and operational matters (excluding litigation and administrative matters).</p><p></p><p><strong>Responsibilities</strong>:</p><ul> <li>Provide legal advice, guidance, and support on U.S. federal and state regulatory, compliance, and corporate matters, including mortgage lending and corporate governance.</li> <li>Coordinate and oversee an effective compliance environment and protocol in line with industry best practices and regulatory requirements.</li> <li>Prepare, review, and manage agreements, including those between affiliates, as well as corporate governance documents such as operating agreements and articles of incorporation.</li> <li>Organize board meetings, draft and maintain corporate minutes, and support corporate governance initiatives.</li> <li>Ensure timely, accurate, and compliant internal and regulatory reporting; manage responses to regulatory examinations and complaints.</li> <li>Support multi-state residential mortgage licensing surveys, applications, maintenance, and renewals.</li> <li>Identify and prepare required residential mortgage loan closing documents and disclosures.</li> <li>Provide support on M&A activities including due diligence and post-closing integration.</li> <li>Develop and maintain corporate and compliance-related policies and procedures that align with legal, regulatory, and operational needs</li> <li>Communicate with and manage outside counsel as needed.</li> <li>Perform other projects and duties as assigned.</li> </ul><p><strong>Requirements</strong></p><ul> <li>Law degree from a nationally accredited U.S. law school preferred.</li> <li>5–10 years of regulatory, compliance, and corporate legal experience in financial services, real estate, or mortgage banking across the U.S.</li> <li>Must have experience designing and tracking marketing communication strategies?</li> <li>Strong knowledge of U.S. federal and state laws, regulations, and licensing requirements related to residential and commercial mortgage lending and corporate governance.</li> <li>Excellent command of the English language, both written and verbal.</li> <li>Outstanding organizational and communication skills, with strong attention to detail and follow-through.</li> <li>Demonstrated ability to draft, review, and negotiate legal documents with superior legal research and writing skills.</li> <li>Proven analytical and critical thinking abilities with strong business judgment and problem-solving skills.</li> <li>Able to thrive in a fast-paced, deadline-driven environment and manage multiple projects simultaneously.</li> <li>Highly resourceful, proactive, and capable of establishing effective working relationships across teams.</li> <li>Proficient in Microsoft Office and Adobe applications.</li> </ul><p><strong>Benefits</strong></p><ul><li>USD Salary</li></ul><ul> <li>PTO available </li> <li>Full-time position</li> <li>Consultancy Agreement</li> </ul>
